Corporate/M&A/Securities/Finance Transactional Attorney


Seeking corporate attorneys for Baltimore Maryland Office.

The Corporate Attorney will be responsible for providing legal advice and representation to clients in corporate, M&A, securities, and finance transactions. The successful candidate will have extensive experience in these areas of law and will be able to handle complex legal matters with confidence and professionalism.

Responsibilities:

  • Advise clients on corporate governance matters, mergers and acquisitions, securities offerings, and other corporate transactions.
  • Draft and review legal documents, including contracts, agreements, and disclosure materials.
  • Conduct legal research and analysis to support client matters and provide guidance on complex legal issues.
  • Negotiate terms and conditions of transactions and agreements on behalf of clients.
  • Collaborate with other attorneys and legal professionals within the firm to provide comprehensive legal services to clients.
  • Stay current on developments in corporate law, securities regulations, and financial markets.
  • Communicate effectively with clients, colleagues, and other stakeholders to ensure successful outcomes for client matters.

Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the bar in the jurisdiction relevant to the position (Delaware bar admission preferred).
  • Minimum of 6 years of experience practicing corporate law, with a focus on M&A, securities, and finance transactions.
  • Strong academic credentials, including top-tier law school and academic achievements.
  • Excellent oral and written communication skills, with the ability to convey complex legal concepts clearly and effectively.
  • Demonstrated ability to work independently and collaboratively in a fast-paced, deadline-driven environment.
  • Strong attention to detail and analytical skills, with the ability to identify and address legal issues efficiently.
  • Commitment to providing exceptional client service and achieving positive outcomes for clients.

 
Candidates should have 6+ years of experience with corporate, M&A, securities and/or finance transactions. Applicable bar admission required for the jurisdiction in which the candidate is interested.
